Synopsys Inc. Sells Software Integrity Group to Clearlake Capital and Francisco Partners for $2.1 Billion in a Cash Payment of Up to $475 Million

Synopsys Inc. is set to sell its Software Integrity Group business to Clearlake Capital Group L.P. and Francisco Partners for up to $2.1 billion in a deal that includes a cash payment of up to $475 million contingent upon specified returns achieved by Francisco Partners and Clearlake in future liquidity transactions. The business will operate independently as a provider of application security testing software once the transaction is completed, which is anticipated to finalize in the latter half of 2024 pending customary closing procedures and regulatory approvals.
