As a journalist, I recently covered the sale of various technology platforms from Software AG to IBM. This complex transaction involved asset divestiture and simultaneous closings in over 50 jurisdictions. The Spanish subsidiary of Software AG played a key role in many of these jurisdictions, acting as the parent company for businesses in several Latin American countries as well as Iberian businesses.
Pedro Ravina, Lorenzo de Benito Lobo, and Javier Churtichaga Doménech led the legal team handling the transaction under Spanish law. They were supported by Catarina Tavares Loureiro, Marta Sampaio Pinto, and Inês Freitas De Almeida who advised on Portuguese law. In addition, Daniel Cerrutti Buendía, Paula Alonso Barrera, and Belén Velasco Pardo provided guidance on labor and employment law aspects of the transaction. Each member of the legal team played a crucial role in ensuring the successful completion of the deal.
